G.R.O.W. Program Agreement

Please read this Physician Referral Program Agreement (the "Agreement") carefully before submitting your application ("Application") for participation in Powerstep’s G.R.O.W. Program (the "G.R.O.W. Program"). This agreement is a binding contract between the individual submitting the application or the entity on whose behalf the Application is being submitted ("you" and "your") and Powerstep. By submitting the Application, you hereby accept and agree to all of the terms and conditions set forth in this Agreement. The Agreement shall be effective only upon Powerstep's acceptance of your Application, and your participation in Powerstep’s G.R.O.W Program. By submitting an Application to Powerstep, you certify that you have read and agree to be bound by the terms and conditions of this Agreement.

RECITALS

WHEREAS, Powerstep has established a G.R.O.W. Program for the purpose of referring patients to the Powerstep website, www.powersteps.com, for the purpose of allowing patients to purchase recommended, exclusive ProTech products from Powerstep.

NOW, THEREFORE, in consideration of the covenants and premises contained herein, the parties agree as follows:

Eligibility: The G.R.O.W Program is only available to medical professionals duly licensed and in good standing to practice their profession in the applicable jurisdiction. A medical professional is defined as any physician, podiatrist, hospital, chiropractor, or physical therapist that attends to patients in a medical setting. A certified pedorthist or orthotic fitter affiliated with a retail store is ineligible for this program.

Enrollment in the G.R.O.W Program: To enroll in the program, you must submit a G.R.O.W. Program Application, which is found on Powerstep’s web site at: www.powersteps.com/grow-program Powerstep will evaluate your application and will notify you via the e-mail address listed in your Application of its acceptance or rejection for participation in the program. There is no guarantee that you will be accepted in the G.R.O.W Program. Powerstep may reject your application for any reason at its sole discretion.

Referral rebate: Powerstep shall provide a 15% referral rebate on the purchases made by your patients using your unique, exclusive code on www.powerstep.com. Rebates will be calculated on order subtotals, not including tax or shipping charges. Rebate calculations shall not include product orders that are returned for any reason or for which Powerstep is unable to collect the purchase price of the product. Rebates will be paid to participants only on orders placed during the term of this Agreement. Due to the referral rebate provided by Powerstep and your economic interest in purchases made through this program, no patient purchases may be subsequently submitted for reimbursement from a third party payer, whether Medicare or another commercial insurance provider. Participants are required to inform patients that they cannot seek reimbursement for the Powerstep products before referring them to the Powerstep website.

Rebate Payments: Rebate payments will only be processed through PayPal. Medical professional participants will be paid the calculated rebate amount, on a quarterly basis, depending on patient orders. To establish a PayPal account, please visit www.paypal.com. Should products be returned after a rebate has been paid that includes such product orders, the amount paid for earned rebates in the next quarter shall be adjusted to account for such product returns.

Sales Reporting:

You will be able to access reports on https://grow.powerstep.com/affiliates/ which include sales that have tracked to your account and the rebate amount associated with each sale within your PayPal account.

Policies and Pricing:

a. Patients who buy Powerstep's products through the G.R.O.W Program are customers of Powerstep. Accordingly, all of Powerstep's policies (including prices, pricing policies and warranties), and operating procedures concerning customer orders, customer service, and product sales shall apply. Powerstep may change its policies and operating procedures at any time. Powerstep reserves the right to change prices of products at any time. Patients may use their HSA card for purchases through this program on Powerstep’s website, however FSA credit cards are not an approved method of payment since these purchases are not eligible for insurance reimbursement.

b. You understand and agree that Powerstep shall be the sole owner of any and all data and information Powerstep (or its representatives) obtains or gathers from, or in connection with, patient end users visiting or transacting business on the Powerstep site or otherwise transacting business with Powerstep, including without limitation, all transaction, usage and preference data. Powerstep may use this information to market to your patients on your behalf.

Delivery: Patient orders will be shipped freight free directly to the patient via Ground method as standard shipping. Expedited shipping will be available via patient request with additional charges added to the order total.

Publicity: You shall not create, publish, distribute, or permit any written material that makes reference to Powerstep or the G.R.O.W Program without first submitting such material to Powerstep and receiving its written consent. You agree not to publish your unique referral code online with any site, such as Groupon or RetailMeNot, and reserve the use of this code for in-office visits only. Physician’s publishing their code online or in any other media without the written consent of Powerstep will automatically be terminated from the program.

Licenses and Use of the Powerstep Logos and Trademarks:

a. Powerstep grants you a limited, non-exclusive, non-transferable, revocable right to (i) access Powerstep through the G.R.O.W Program links solely in accordance with the terms of this Agreement, and (ii) solely in connection with such links, to use the Powerstep trademark and logo and similar identifying material relating to Powerstep (but only in the form(s) that they appear on Powerstep's PayPal.com pages) (collectively, the "Licensed Materials"). You may not copy, except as expressly set forth in this Agreement, distribute, alter, modify, reverse engineer, or create derivative works from the Licensed Materials. Powerstep may revoke your license at any time by giving you written notice.

b. You shall not make any specific use of any Licensed Materials for purposes other than promoting Powerstep's products in your practice. You agree not to use the Licensed Materials in a manner that is misleading or deceptive or disparages Powerstep, its site, the G.R.O.W Program or Powerstep's products or services or that otherwise portrays Powerstep, in its discretion, in anegative light. Powerstep reserves all rights in the Licensed Materials. At no time during the Term or thereafter will you challenge, or assist others in challenging, the validity of Powerstep Licensed Materials or the registration thereof or attempt to register any confusingly similar trademarks, service marks, logos, trade names or domain names. Except for the limited license set forth above, no license or other rights to Powerstep's Licensed Materials will be deemed granted to you hereunder or in connection with the G.R.O.W Program.

c. You grant to Powerstep a non-exclusive license to use your names, titles, logos, and trademarks (the "Affiliate Trademarks"), to advertise, market or promote your participation in the G.R.O.W Program, and/or Powerstep's rights hereunder. Notwithstanding the foregoing, Powerstep is not obligated to advertise, market, promote, or publicize your participation in the G.R.O.W Program, the existence of the G.R.O.W Program, or any other aspect of the G.R.O.W Program.

d. The licenses granted hereunder shall run concurrently with the term of this Agreement.

Term and Termination: The term of this Agreement will begin as of the date Powerstep notifies you that Powerstep has accepted you into the G.R.O.W Program and will end when terminated by either party. Either you or Powerstep may immediately terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. Any rebates earned prior to termination of this Agreement shall be paid to the physician participant during the next quarterly payment cycle subject to offset for any known product returns at that time.

Modification: Powerstep may modify any of the terms and conditions contained in this Agreement at any time in its discretion. You will be notified of any changes via email. If you do not agree to be bound by the terms and conditions of any modification to this Agreement, you may terminate this Agreement by giving written notice to Powerstep. Your continued participation in the G.R.O.W Program following any notice of a modification of this Agreement shall constitute your binding acceptance of the Agreement as modified.

Relationship of Parties: You and Powerstep are independent contractors, and nothing in this Agreement shall be construed to create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You are not authorized to make or accept any offers or representations on behalf of Powerstep.

Exclusive Warranty and Remedy: Powerstep warrants that the products shall be free from defects in materials and workmanship and shall perform as described in the products’ literature. Powerstep’s obligation under this warranty is limited to replacement at no charge of any products that are determined to be defective. Powerstep warrants there shall be no expressed or implied warranties, including, but not limited to, the warranty of exchangeability or fitness for any purpose, except as provided in the preceding sentences. Powerstep neither assumes nor authorizes any person to assume for it any other liability in connection with the sale or use of the products. Powerstep makes no representation that the operation of the Powerstep website will be uninterrupted or error free, and Powerstep shall not be liable for the consequences of any interruptions or errors.

Confidentiality: Except as otherwise provided in this Agreement or with the consent of the other party hereto, each of the parties hereto agrees that all information regarding Powerstep’s G.R.O.W Program including, without limitation, the terms of this Agreement, business and financial information, customer information, and pricing and sales information shall remain strictly confidential and shall not be shared with other parties.

Indemnification: You shall indemnify and hold harmless Powerstep and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on your negligent or reckless acts or any breach of any agreement, covenant, representation or warranty under this Agreement.

Miscellaneous: This Agreement shall be binding upon and be for the benefit of any successors, assigns and legal representatives of the parties hereto. The undersigned shall not transfer or assign any right, duty or interest herein to any other person or entity without the prior written consent of Powerstep. This Agreement shall constitute the entire understanding of the parties. This Agreement shall be interpreted in accordance with its fair meaning and shall not be interpreted for or against either party because one party or its legal representative may have drafted this Agreement. The laws of the State of Ohio shall govern the enforcement and interpretation of this Agreement. The terms of this Agreement shall supersede any contrary terms in any terms or conditions previously provided to the undersigned in a stocked practice setting.
